Terms
Last Updated: September 20, 2026
Welcome to sigmafundinggroup.com (the “Site“), owned and operated by Sigma Funding Group (“Sigma,” “we,” “us,” or “our“). These Terms of Service (“Terms“) govern your access to and use of the Site, including any content, tools, calculators, applications, and materials available on it. By accessing or using the Site, submitting an inquiry, or requesting a proposal, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Business Use Only
Sigma provides commercial financial products to businesses, not to individual consumers. The Site and the services described on it, including invoice factoring, asset-based lending (“ABL“), accounts receivable (“AR“) funding, and debtor-in-possession (“DIP“) financing, are intended solely for business entities acting for commercial purposes, and not for personal, family, or household use. By using this Site or submitting any information to us, you represent that you are at least 18 years old, are authorized to act on behalf of the business you represent, and are seeking our services for a legitimate business purpose.
2. The Site Is Informational
The content on this Site, including descriptions of our funding products, industries served, process timelines, sample fee structures, and the Capital Estimator / Working Capital ROI calculator tools, is provided for general informational purposes only. Nothing on the Site constitutes:
- A commitment, offer, or guarantee of funding, an advance rate, a fee, or any specific terms;
- A pre-qualification or credit decision of any kind; or
- Financial, legal, tax, or accounting advice.
Figures shown by any calculator or estimator tool are illustrative estimates based on the inputs you provide and general market assumptions. Your actual advance rate, discount fee, approval, and funding timeline depend on underwriting of your specific invoices, your customers’ creditworthiness, industry risk, documentation, and other factors determined at Sigma’s sole discretion, and may differ materially from any estimate shown on the Site.
3. Requesting a Proposal Does Not Create a Binding Agreement
Submitting a form, requesting a proposal, or speaking with a member of our team does not obligate Sigma to extend financing, and does not obligate you to accept any proposal we provide. No factoring facility, ABL line, AR funding facility, or DIP financing arrangement becomes binding until the applicable parties execute a separate, definitive written agreement (for example, a factoring and security agreement, loan and security agreement, or DIP credit agreement approved through the applicable bankruptcy court process). That definitive agreement, not this Site or these Terms, will govern the actual terms of any financing relationship, including advance rates, fees, recourse or non-recourse treatment, UCC‑1 filings, Notice of Assignment procedures, reserve release, renewal, and termination.
If any conflict exists between these Terms and a signed financing agreement between you and Sigma, the signed agreement controls with respect to the financing relationship it governs.
4. Information You Provide to Us
When you submit an application, request a proposal, or otherwise provide information through the Site (including your name, business name, contact details, industry, invoice volume, and information about your customers), you represent and warrant that:
- The information is true, accurate, and complete;
- You have the authority to submit it on behalf of the business you represent; and
- You have any necessary authorization to permit Sigma (or its underwriting or funding partners) to verify the information you provide, including contacting or reviewing the credit profile of the customers whose invoices you propose to factor or finance.
Providing false or misleading information may result in denial of your request, termination of any resulting agreement, or other action available to us.
5. Consent to Be Contacted
By submitting your phone number, email address, or other contact information through the Site, you consent to be contacted by Sigma or its representatives by phone, text message, and/or email regarding your inquiry, using the contact information you provided, even if that number is registered on a do-not-call list. Message and data rates may apply to text communications. You may withdraw this consent at any time by notifying us using the contact information in Section 15 below. Our use of your information is further described in our Privacy Policy.
6. No Professional Advice
Nothing on the Site is intended as, and should not be relied upon as, financial, legal, tax, or accounting advice. You should consult your own advisors before making decisions about invoice factoring, asset-based lending, AR funding, DIP financing, or any other financial arrangement. This is particularly important for DIP financing, which is subject to bankruptcy court approval, creditor committee input, and requirements specific to your Chapter 11 proceeding that are outside Sigma’s control.
7. Testimonials, Case Studies, and Statistics
Testimonials, case studies, and statistics referenced on the Site (including client statements, funding volume figures, approval timelines, and industry-specific results) reflect the experiences of specific clients or aggregate historical data and are not guarantees of the results any particular business will achieve. Individual results vary based on your business’s specific circumstances, your customers’ creditworthiness, and market conditions.
8. Intellectual Property
All content on the Site, including text, graphics, logos, tools, calculators, and design elements, is owned by Sigma or its licensors and is protected by applicable intellectual property laws. You may view and use the Site for its intended informational purpose, but may not copy, reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written consent.
9. Acceptable Use
You agree not to: (a) use the Site for any unlawful purpose or in violation of these Terms; (b) submit false, fraudulent, or misleading information; (c) attempt to gain unauthorized access to any part of the Site, our systems, or related accounts; (d) interfere with or disrupt the Site’s operation, including through malware, scraping, or automated data collection not authorized by us; or (e) use the Site to submit invoices, receivables, or information relating to any transaction you know to be fraudulent, fictitious, or already pledged, assigned, or encumbered to another party.
10. Third-Party Links and Services
The Site may reference or link to third-party resources, tools, or services. Sigma does not control and is not responsible for the content, accuracy, or practices of any third-party site or service, and inclusion of a link does not imply endorsement.
11. Disclaimer of Warranties
The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any estimate, calculation, or timeline displayed will match your actual results.
12. Limitation of Liability
To the fullest extent permitted by law, Sigma and its officers, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of the Site, reliance on any content or estimate provided on the Site, or these Terms, even if advised of the possibility of such damages. This limitation does not apply to obligations set out in a separate, signed financing agreement between you and Sigma, which will be governed by the terms of that agreement.
13. Indemnification
You agree to indemnify and hold harmless Sigma and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your breach of these Terms, or information you submit that is false, fraudulent, or misleading.
14. Governing Law; Venue; Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts, and you consent to personal jurisdiction in those courts. Before filing a formal claim, you agree to first contact us to attempt to resolve the matter informally.
15. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date at the top of this page reflects the most recent revision. Continued use of the Site after changes take effect constitutes your acceptance of the revised Terms. Material changes affecting an existing signed financing agreement will be governed by the amendment provisions of that agreement, not by this page.
16. Severability; Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sigma regarding use of the Site, and supersede any prior understandings regarding the Site (but not any separately signed financing agreement, which is governed by its own terms).
